WEBSITE DESIGN AND DEVELOPMENT AGREEMENT – WORK FOR HIRE
This Website Design and Development Agreement (the "Agreement") is made and effective as of 22 August 2026.
1. BACKGROUND INFORMATION
A. The Developer is in the business of designing websites and has technical experience in software development and workflow automation.
B. The Customer wishes to have a website created meeting the specifications and to make such website available through the Internet.
C. The Customer is the current or intended registered owner of the Internet domain name [TARGET DOMAIN ADDRESS], which shall be the URL at which the Website shall be located.
NOW THEREFORE, in consideration of the covenants set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree to the following:
2. CREATION OF WEBSITE & WORK FOR HIRE
2.1 Engagement of Developer:Customer hereby engages the services of the Developer for the purpose of designing, creating, testing, and delivering a fully functional Website, to be delivered to the Customer in the form of Hypertext Markup Language ("HTML"), Cascading Style Sheets ("CSS"), TypeScript, and React Next.js framework code, which meets the specifications set forth herein and which is fully ready and operational upon placement on a server for availability on the World Wide Web.
2.2 Delivery Responsibilities of the Customer:Within 7 days from the date of execution of this Agreement, Customer will deliver the required items to Developer, including logos, photographs, text copy, and business credentials ("Website Content").
2.3 Work for Hire & Copyright Ownership: Pursuant to Section 19A of the Copyright Act, 1957 and Section 10 of the Indian Contract Act, 1872, all custom code, graphic layouts, database schemas, and digital deliverables created by Developer for Customer under this Agreement shall be deemed a "Work Made for Hire". All copyrights, intellectual property, registered domains, and source code transfer irrevocably to Customer upon final invoice settlement.
2.4 Statutory Compliance & Admissibility in Law: This Agreement is executed in electronic format pursuant to Section 10A of the Information Technology Act, 2000 (Validity of Electronic Contracts) and Section 65B of the Indian Evidence Act, 1872 (Admissibility of Electronic Records). Client data is handled under the Digital Personal Data Protection (DPDP) Act, 2023. Governed by the laws of India. Courts in Ahmedabad, State of Gujarat shall have exclusive jurisdiction.
